Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ZenShows platform, including our website at zenshows.com and zen.show, our mobile applications, and all related services (collectively, the "Service"). The Service is operated by ZenShows LLC, a Texas limited liability company ("ZenShows," "we," "us," or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms, our Privacy Policy, our Acceptable Use Policy, and any additional terms referenced herein. If you do not agree, do not use the Service.

A. The Service

ZenShows provides a cloud-based workforce management platform for event-based businesses, including scheduling, check-in/check-out, timekeeping, reporting, messaging, inventory management, and related tools. We may add, modify, or discontinue features at any time.

B. Accounts & Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@zenshows.com if you suspect unauthorized access.

C. User Responsibilities

You agree to use the Service only for lawful purposes and in compliance with these Terms and our Acceptable Use Policy. You are solely responsible for the accuracy and legality of any data you submit. You will not attempt to reverse-engineer, decompile, or derive source code from the Service.

D. Intellectual Property

All content, software, designs, and trademarks associated with the Service are the property of ZenShows or its licensors and are protected by applicable intellectual property laws. You retain ownership of data you submit but grant ZenShows a non-exclusive, worldwide license to use, process, and store that data solely to provide and improve the Service.

E. Payment & Fees

Certain features of the Service require payment. Fees, billing cycles, and payment terms are set forth in your service agreement or order form with ZenShows. Unpaid fees may result in suspension or termination of access.

F. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ZENSHOWS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

G. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZENSHOWS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID TO ZENSHOWS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

H. Indemnification

You agree to indemnify, defend, and hold harmless ZenShows and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

I. Termination

Either party may terminate access to the Service as set forth in your service agreement. ZenShows may also suspend or terminate your access immediately if you violate these Terms or our Acceptable Use Policy. Upon termination, your right to use the Service ceases. Sections that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will survive.

J. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts.

K. Changes to These Terms

We may update these Terms from time to time by posting a revised version on this page. Material changes will be communicated via the Service or by e-mail. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

Acceptable Use Policy ("AUP")

  1. Unacceptable Use. ZenShows requires that all customers and other users of ZenShows cloud-based service (the "Service") conduct themselves with respect for others. In particular, observe the following rules in your use of the Service:
    1. Abusive Behavior: Do not harass, threaten, or defame any person or entity. Do not contact any person who has requested no further contact. Do not use ethnic or religious slurs against any person or group.
    2. Privacy: Do not violate the privacy rights of any person. Do not collect or disclose any personal address, social security number, or other personally identifiable information without each holder's written permission. Do not cooperate in or facilitate identity theft.
    3. Intellectual Property: Do not infringe upon the copyrights, trademarks, trade secrets, or other intellectual property rights of any person or entity. Do not reproduce, publish, or disseminate software, audio recordings, video recordings, photographs, articles, or other works of authorship without the written permission of the copyright holder.
    4. Hacking, Viruses, & Network Attacks: Do not access any computer or communications system without authorization, including the computers used to provide the Service. Do not attempt to penetrate or disable any security system. Do not intentionally distribute a computer virus, launch a denial of service attack, or in any other way attempt to interfere with the functioning of any computer, communications system, or website. Do not attempt to access or otherwise interfere with the accounts of other users of the Service.
    5. Spam: Do not send bulk unsolicited e-mails ("Spam") or sell or market any product or service advertised by or connected with Spam. Do not facilitate or cooperate in the dissemination of Spam in any way. Do not violate the CAN-Spam Act of 2003.
    6. Fraud: Do not issue fraudulent offers to sell or buy products, services, or investments. Do not mislead anyone about the details or nature of a commercial transaction. Do not commit fraud in any other way.
    7. Violations of Law: Do not violate any law.
  2. Consequences of Violation. Violation of this Acceptable Use Policy (this "AUP") may lead to suspension or termination of the user's account or legal action. In addition, the user may be required to pay for the costs of investigation and remedial action related to AUP violations. ZenShows reserves the right to take any other remedial action it sees fit.
  3. Reporting Unacceptable Use. ZenShows requests that anyone with information about a violation of this AUP report it via e-mail to the following address: legal@zenshows.com. Please provide the date and time (with time zone) of the violation and any identifying information regarding the violator, including e-mail or IP (Internet Protocol) address if available, as well as details of the violation.
  4. Revision of AUP. ZenShows may change this AUP at any time by posting a new version on this page and/or sending the user written notice thereof. The new version will become effective on the date of such notice.

Privacy Policy

This Privacy Policy describes how ZenShows LLC ("ZenShows," "we," "us," or "our") collects, uses, and shares information through our website at zenshows.com and zen.show, our mobile applications, and all related services (collectively, the "Service"). By using the Service, you agree to the practices described in this policy.

A. Information We Collect

Information you provide: When you register, use the Service, or communicate with us, we may collect your name, e-mail address, telephone number, mailing address, job title, employer or vendor affiliation, profile photo, and any other information you submit (such as form responses, uploaded documents, chat messages, or timesheet entries).

Information collected automatically: When you access the Service, we may automatically collect your IP address, browser type and version, device identifiers, operating system, referring URLs, pages visited, timestamps, and usage patterns.

Location data: We collect GPS coordinates only when you initiate a specific action that requires location (such as checking in or out of an event, or submitting a location-enabled form). See our GPS Data Note for details.

Cookies and similar technologies: We use cookies, local storage, and similar technologies to maintain your session, remember preferences, and compile aggregate usage statistics. You can control cookies through your browser settings, but disabling them may affect functionality.

B. How We Use Your Information

We use the information we collect to:

  • Provide, maintain, and improve the Service;
  • Create and manage your account;
  • Process scheduling, timekeeping, check-ins, messaging, and other workforce management functions;
  • Communicate with you about the Service, including notifications, updates, and support;
  • Process payments and billing;
  • Enforce our Terms of Service and Acceptable Use Policy;
  • Comply with legal obligations and protect against fraud or security threats; and
  • Generate aggregate, de-identified analytics to improve the Service.

C. How We Share Your Information

With your employer or vendor: If you use the Service through an employer, vendor, or client organization, that organization may have access to your Service data (such as timesheets, check-in records, and form submissions) as part of its use of the platform.

Service providers: We share information with third-party providers who help us operate the Service, such as hosting, analytics, payment processing, and communication services. These providers are contractually required to protect your information and use it only on our behalf.

Legal and safety: We may disclose information when required by law, court order, or governmental request, or when we believe disclosure is necessary to protect the rights, property, or safety of ZenShows, our users, or others.

Business transfers: In connection with a merger, acquisition, sale of assets, or bankruptcy, your information may be transferred as part of the transaction.

We do not sell your personal information to third parties. Aggregate, de-identified statistics may be shared publicly or with partners.

D. Data Security

We use industry-standard measures to protect your information, including SSL/TLS encryption for data in transit, secure password hashing, access controls, and secure server environments. Despite these measures, no method of electronic storage or transmission is completely secure, and we cannot guarantee absolute security.

E. Data Retention

We retain your information for as long as your account is active or as needed to provide the Service, comply with legal obligations, resolve disputes, and enforce our agreements. When information is no longer needed, we delete or de-identify it.

F. Children's Privacy

The Service is not directed to children under 16. We do not knowingly collect personal information from children under 16. If we learn that we have collected information from a child under 16, we will delete it promptly. Contact us at legal@zenshows.com if you believe a child's information has been submitted.

G. Your Rights & Choices

You can access, update, or correct your personal information through your "Profile" page or "Settings" in the Service. To request deletion of your account or data, or to exercise other rights available under applicable law, contact us at support@zenshows.com.

H. Changes to This Privacy Policy

We may update this Privacy Policy by posting a revised version on this page. The "Last updated" date at the bottom of this section will reflect the most recent revision. Material changes will be communicated via the Service or by e-mail.

A Note About GPS Data

Many users are confused and/or concerned about the use of GPS (Global Positioning System) location through their phones. The following is intended to clarify how ZenShows uses this technology:

  1. ZenShows will only acquire your location information from the check-in/out page when you click the button to check in or out, or when a DataCollector form is sent to you with a location-enabled capture button. ZenShows will first try to find a high-accuracy location using your phone's hardware and, if unsuccessful, will try to find a lower-accuracy location. Once ZenShows has completed this process, whether successful or not, ZenShows will not try to find your location again until you press the button again.
  2. ZenShows does not continue to track your location after you have checked in or out. Your phone may continue to refine your location, but that additional data will not be available to ZenShows unless you press the check-in/out button again.
  3. ZenShows will only be able to get your location if (A) your phone is enabled for GPS tracking, (B) your web browser on your phone is enabled for location, and (C) you have given permission for ZenShows to use location.
  4. When you check in or out using GPS tracking, your coordinates are transmitted to the ZenShows website securely using industry-standard encryption. Furthermore, the information sent to our servers is identified by your user account and is not public information.
  5. ZenShows stores this information in our database along with other information related to the event you are attending. This information is covered under our Privacy Policy.

SMS / Text Messaging Terms

ZenShows LLC ("ZenShows") may send you text messages (SMS/MMS) related to event scheduling, check-in reminders, timesheet notifications, and other Service communications. By providing your mobile number and opting in, you consent to receive recurring automated text messages from ZenShows at the number provided. Consent is not a condition of using the Service or making any purchase.

  1. Message frequency: Message frequency varies based on your event activity and notification preferences. You may receive several messages per week during active event periods.
  2. Message and data rates may apply. Your wireless carrier's standard messaging and data rates apply. ZenShows does not charge for text messages, but your carrier may. Contact your carrier for details about your plan.
  3. Opt out: You can stop receiving text messages at any time by replying STOP to any ZenShows message. You will receive a one-time confirmation message. You may also disable text notifications through your profile settings or by e-mailing support@zenshows.com.
  4. Help: For help, reply HELP to any ZenShows message, or e-mail support@zenshows.com.
  5. Supported carriers: Supported carriers include, but are not limited to, AT&T, T-Mobile, Verizon Wireless, U.S. Cellular, and most major U.S. wireless providers. Carriers are not liable for delayed or undelivered messages.
  6. Device authorization: You represent that you are the owner or authorized user of the mobile device receiving messages and that you are authorized to approve any applicable charges.
  7. Delivery: We are not liable for delays or failures in message delivery caused by your carrier, network conditions, or device. SMS services are provided on an AS-IS, AS-AVAILABLE basis.
  8. Data collected: Information collected through this SMS service (including your phone number, carrier, and message content) is used solely to deliver messages and operate the Service. This data is governed by our Privacy Policy.
  9. Availability: The SMS service is available only in the United States.
  10. Changes: We may modify these SMS terms or discontinue the SMS service at any time. Changes take effect when posted on this page.

Referral Program Terms

These Referral Program Terms ("Referral Terms") govern the ZenShows Referral Program (the "Program") operated by ZenShows LLC ("ZenShows," "we," "us," or "our"). By participating in the Program, you agree to these Referral Terms and our Terms of Service.

A. How the Program Works

The Program allows eligible participants ("Referrers") to earn a one-time referral reward ("Reward") for each qualifying referral that results in a new, active, paying ZenShows client. The current Reward amount is stated on the Program page within the ZenShows application; ZenShows may change the Reward amount at any time for future referrals.

B. Eligibility

  1. The referred company must be a new prospective ZenShows client that is not a current ZenShows customer, a previously referred company, an active sales opportunity already known to ZenShows, or a company that has previously evaluated ZenShows services.
  2. The referral must be submitted to ZenShows through the designated referral process (currently the in-app referral chat) before any introduction is made. ZenShows must approve the referral in writing or via the Service before it can qualify.
  3. The Referrer must make a direct, personal introduction to an appropriate decision-maker at the referred company and must have that individual's permission to share their contact information with ZenShows.
  4. Self-referrals are not permitted. You may not refer a company that you own, control, or are employed by, or any entity in which you hold a material financial interest.
  5. Only one Reward is payable per referred company, and it is paid only to the first qualifying, approved Referrer for that company unless ZenShows agrees otherwise in writing.

C. Qualification & Payment

A Reward becomes payable only after all of the following conditions are met:

  1. ZenShows has approved the referral;
  2. The referred company has signed up for ZenShows services;
  3. The referred company has become an active, paying client;
  4. The referred company has completed its first full calendar month of paid service;
  5. All fees owed by the referred company for the qualifying month have been received by ZenShows in full, with no chargebacks, refunds, or disputes; and
  6. The referred company's account remains in good standing through the Reward payment date.

If all conditions are satisfied, ZenShows will issue the Reward within sixty (60) days after qualification, subject to receipt of any required tax documentation (see Section F below). Payment method is at ZenShows' discretion (e.g., check, ACH, or credit to your ZenShows account).

D. Prohibited Conduct

The following conduct will disqualify a referral and may result in removal from the Program:

  1. Submitting fraudulent, misleading, or incomplete referral information;
  2. Spam, mass outreach, purchased lead lists, or any unsolicited bulk communication on behalf of ZenShows;
  3. Making false, misleading, or unsubstantiated claims about ZenShows or its services;
  4. Attempting to refer a company that does not meet the eligibility criteria;
  5. Any conduct that violates applicable law, the FTC's Endorsement Guides, our Acceptable Use Policy, or any other ZenShows policy.

E. Disclosure Obligation

If you publicly recommend ZenShows or discuss the Reward — whether on social media, in online reviews, or in any other public forum — you must clearly and conspicuously disclose that you may receive compensation for the referral. This is required by the Federal Trade Commission's Endorsement Guides and is a condition of Program participation.

F. Taxes

Referral Rewards are taxable income. You are solely responsible for reporting and paying any taxes owed in connection with Rewards received. If required by law, ZenShows may request a completed IRS Form W-9 (or equivalent) before issuing payment and may report Reward payments on IRS Form 1099-NEC or as otherwise required.

G. Discretion & Disputes

ZenShows determines eligibility, qualification, duplication, and abuse in its reasonable discretion. All decisions by ZenShows regarding the Program are final. Fraudulent or abusive referrals are void and may result in forfeiture of pending Rewards and removal from the Program.

H. Program Changes & Termination

ZenShows may modify, suspend, or terminate the Program at any time by posting updated terms on this page or providing notice through the Service. Changes apply prospectively to new referrals submitted after the effective date. Rewards already earned and approved before the change will not be retroactively reduced.

I. General

Participation in the Program does not create an employment, agency, partnership, or joint-venture relationship between you and ZenShows. The Program is void where prohibited by law. These Referral Terms are governed by the laws of the State of Texas, and any disputes shall be resolved exclusively in the state or federal courts located in Travis County, Texas.
